How long does the diligence engagement typically take? +

The Pre-Merger Technology Diligence engagement typically runs two to three weeks, depending on the accessibility of the target's technical team and documentation. We are accustomed to working within the compressed timelines that deal processes impose, and we will be direct about what is and is not feasible within a given window.

What does the post-merger integration advisory involve on a practical level? +

We begin by interviewing the technology leads on both sides and reviewing existing system documentation. From there we build a catalogue of what each organisation runs, where the systems overlap and where dependencies will require careful sequencing. The output is a written integration plan with a proposed order of work and a set of decision points for leadership to address. We remain available for questions as implementation proceeds.

Who should attend the carve-out workshop? +

The workshop is designed for corporate development, IT operations and finance to attend together. In our experience, the most useful carve-out plans come from rooms where those three functions have agreed on the constraints and dependencies at the same time, rather than reconciling separate documents after the fact. We recommend between four and eight participants.

Do you work with targets as well as acquirers? +

On a given transaction, we advise one side only. If you are a target company and wish to understand how your technology estate will likely be read during diligence, we are willing to discuss a preparatory review — a separate, discrete engagement prior to a process commencing.

How are the engagement fees structured? +

The fees published on this page represent a standard scope. Transactions with unusual complexity — multiple jurisdictions, very large system estates, condensed timelines — may require a modified scope. We discuss this candidly before an engagement begins. There are no additional charges for travel within Peninsular Malaysia.

Is our information held in confidence? +

All engagement materials are handled under a non-disclosure agreement signed before work begins. Information shared with Sepadu Advisory is not disclosed to any third party, and our advisors do not hold positions in companies whose transactions we advise on.
