An advisory relationship arises only upon the execution of a written engagement letter, signed by an authorised representative of Sepadu Advisory and by the client. Until that point, no reliance should be placed on any communication from the firm as constituting advice.

4. Engagement Services

Where a written engagement letter is executed between Sepadu Advisory and a client, the terms of that engagement letter govern the advisory relationship. These website terms do not modify or supplement the terms of any engagement letter.

Fees and scope are set out in each engagement letter and are specific to the engagement. The fee indications shown on this website represent standard scopes; modified scopes will be quoted separately.

Payment terms are set out in the engagement letter. In the absence of a specific term, invoices are payable within fourteen days of issue.

5. Confidentiality

All information received from a client in connection with an engagement is treated as confidential. Sepadu Advisory will not disclose client information to any third party except as required by law or as expressly permitted by the client in writing.

Enquiries submitted via the website contact form are treated as confidential and are not disclosed to third parties.

6. Intellectual Property

Written deliverables produced under an engagement — diligence notes, integration plans, carve-out handbooks — are the property of the client upon full payment of the engagement fee. Sepadu Advisory retains no licence to reproduce or disclose those deliverables without the client's consent.

All other content on this website, including the design, layout, text and graphics, is the intellectual property of Sepadu Advisory and may not be reproduced without written permission.

7. Limitation of Liability

To the extent permitted by Malaysian law, Sepadu Advisory's liability arising from or in connection with the use of this website is excluded.

In connection with advisory engagements, Sepadu Advisory's liability is limited to the fee paid for the specific engagement in question. The firm does not accept liability for indirect, consequential or special loss arising from reliance on its outputs, except where such loss arises from the firm's gross negligence or fraud.

Nothing in these terms excludes liability that cannot lawfully be excluded under Malaysian law.
